Acquisition Scope

What you acquire — clearly drawn

A single-buyer acquisition of the platform's intellectual property: the complete source, schema, design system, integration code, templates and documentation. Live accounts, secrets and customer data are explicitly excluded and never transfer.

Included

The reusable platform & IP

Backend source

.NET 10 solution with the auth, rate-limit, audit and hardening stack, plus the EF Core schema and all 36 migrations.

Frontend source

Next.js 16 app, design system, five-locale i18n machinery and the worker framework.

Integration clients

Payment order signing, e-sign gateway flow, identity clients, storage recipe and consent-gated analytics loaders.

Templates & assets

Contract and invoice templates, plus reusable model imagery and gallery assets.

Documentation

System audit, deployment plan, and backup/restore runbook for a clean stand-up by the acquirer.

Excluded

What never transfers

Live provider accounts & keys

Payment, e-sign, identity, email, storage and monitoring accounts are rotated or closed — the buyer provisions their own.

Raw customer data

Customer, booking, rental and payment PII is archived under statutory retention for GDPR — never part of the package.

Generated legal & financial records

Signed contracts and issued invoices are retained as records; they are not handed over.

Personal cloud accounts

The founder's hosting, DNS and email accounts are excluded assets and do not transfer as-is.

Stand-up plan

How the acquirer takes it live

Because the platform is portable by construction, the transition is a clean re-platforming rather than an account handover.

  1. Take the code & schema

Receive the two repositories, database schema and migrations, design system and templates.

  2. Stand up fresh infrastructure

Provision new hosting, a managed PostgreSQL instance and object storage under the acquirer's own accounts.

  3. Provision new secrets & providers

Create fresh payment, e-sign, identity, email and monitoring accounts and supply new keys — every integration is env-gated.

  4. Rebrand & re-point DNS

Apply the acquirer's brand (the platform is delivered brand-neutral) and point domains at the new deployment.
